Annual Renewal Requirements for
BVI Business Companies (BCs)
After having incorporated a Business Company in the British Virgin Islands (BVI), it is essential to pay annual renewal fees to maintain its legal status. These mandatory fees include the government renewal fee, the local regulated agent fee (which also covers the company office address in BVI), and a compliance fee to support routine verification of the company’s beneficial owners, shareholders, and directors.
In addition to the standard renewal fees, your company may incur professional service fees depending on the additional services you choose to engage. These optional services may include the appointment of a third-party director or board member, nominee shareholding or share custody, company secretary, business address services, call handling, bank account setup, and more.
BVI Business Company set up and Annual Fee Schedule
All fees are detailed in our official schedule of fees. Annual fees are billed once a year, in accordance with the BVI Official Incorporation Division renewal timetable:
- Companies incorporated between January and June must pay annual fees by May 31, as dead line of the following year and each subsequent year.
- Companies established between July and December must pay annual fees by November 30 (as dead line), starting the year after incorporation.
Failure to pay annual management service fees may result in the discontinuation of those specific services. However, the company remains liable for services already rendered.
If government renewal fees are not paid in due time, late penalties will apply as per the BVI Business Companies Act. Continued non-payment of renewal and penalty fees may lead to the company being struck off the register, meaning it will no longer be legally permitted to operate or manage its assets. Reinstating a struck-off company is possible, but it involves a costly and time-consuming process.
